TERMS OF SERVICE & WORKMANSHIP STANDARDS

1. Scope of Agreement & Parties

This contractual agreement is entered into between Spotbridge Matrxx Nordic Oy (Business ID: FI-3398124-7, Mannerheimintie 142 B, 00270 Helsinki, Finland, referred to as "the Contractor", "we", "us", or "Spotbridge Matrxx") and the property owner, property management company (Taloyhtiö), or authorized consumer ("the Client", "you").

By executing an official project estimate, accepting an online calculation summary, or granting our mobile extrusion crews access to your premises, you agree to be bound by these Terms of Service.

2. On-Site Surveys, Quotes & Binding Execution

All online estimates generated through our interactive calculator are non-binding budgetary tools. Final legally binding quotes are provided following an on-site physical roofline inspection and laser survey conducted by our certified technicians.

• Price Lock Period: Written quotations remain firm and valid for 30 calendar days from the date of issuance.
• Structural Feasibility: If our crew identifies latent fascia rot (lahovaurio), deteriorated rafter tails, or structural roof substrate instability during on-site setup, we will issue an immediate written amendment prior to commencing installation.
• Custom Fabrication: Seamless aluminum troughs extruded on-site to custom dimensions constitute bespoke architectural goods manufactured specifically for your property specifications under the Finnish Consumer Protection Act (Kuluttajansuojalaki 38/1978).

3. Client Site Preparation & Technical Access

To facilitate safe installation and adherence to Finnish Occupational Safety Standards (Työturvallisuuslaki 738/2002), the Client agrees to:

• Provide unobstructed driveway access for our mobile extrusion manufacturing truck and equipment trailers (minimum 3.5-meter clearance).
• Provide access to a standard 230V/16A grounded electrical outlet for our roll-forming power plants.
• Ensure the property perimeter beneath the eaves is free of outdoor furniture, delicate potted vegetation, and domestic pets during active rigging.
• Secure any required condominium or housing association approvals prior to installation commencement.

4. Payment, Taxes & Kotitalousvähennys (Household Tax Deduction)

Payment terms and invoicing are structured in complete alignment with Finnish tax legislation:

• Value Added Tax (ALV): Invoices clearly state the applicable Finnish VAT rate (25.5% as of 2026).
• Kotitalousvähennys Splitting: Invoices strictly segregate labor costs from physical raw material costs. Spotbridge Matrxx Nordic Oy is an active participant in the Finnish Tax Prepayment Register (Ennakkoperintärekisteri), enabling eligible private homeowners to claim up to 40% of the labor expenditure as a tax deduction via OmaVero.fi.
• Standard Payment Term: Standard residential invoices are payable within 14 calendar days from project completion and client sign-off. Late payments incur statutory interest in accordance with the Finnish Interest Act (Korkolaki).

5. 25-Year Structural & 10-Year Labor Warranties

Warranty Exclusions: Normal debris accumulation on unprotected roofs, mechanical impacts from unauthorized third-party snow-raking ladders, structural building shifts, or failure of underlying deteriorated wooden fascia that was excluded from the original scope of work.

6. Cancellation, Modifications & Rescheduling

Residential consumers have the right to cancel standard installation service orders within 14 calendar days of booking, provided that custom on-site aluminum coil roll-forming has not commenced. In the event of severe arctic weather conditions (temperatures below -20°C, sustained blizzard conditions, or lightning storms), Spotbridge Matrxx reserves the right to reschedule installation dates for worker safety without incurring penalty.

7. Limitation of Liability & Force Majeure

Except in cases of gross negligence or willful misconduct, the maximum aggregate liability of the Contractor for any claim arising out of the performance of services shall be limited to the total contract sum paid by the Client. We are not liable for delays or failures caused by events beyond our reasonable control (Force Majeure), including extreme natural catastrophes, severe supply chain blockades, or municipal grid disruptions.

8. Governing Law & Dispute Resolution

These terms and all contractual relationships between the parties are governed exclusively by the laws of Finland. Any disputes that cannot be settled through amicable negotiation shall be submitted to the District Court of Helsinki (Helsingin käräjäoikeus). Consumer clients also maintain the statutory right to seek mediation through the Finnish Consumer Disputes Board (Kuluttajariitalautakunta - kuluttajariita.fi).
